These Terms of Use (the “Terms”) govern access to and use of GuideMeet.com and its related websites, applications, dashboards, messaging tools, content, subscriptions and other features we make available collectively as the “Platform.” The Platform is operated by Guidemeet Private limited, a company registered in Nepal (“GuideMeet,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, clicking to accept these Terms, accessing the Platform or otherwise using it, you agree to these Terms and acknowledge our Privacy Policy and Cookie Policy. Additional rules or terms may apply to particular features.
GuideMeet collects, uses, retains and shares personal information as described in the GuideMeet Privacy Policy, which forms part of the rules governing use of the Platform. If you do not agree to these Terms, do not access or use the Platform.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform. By using GuideMeet, you represent that you meet these requirements and are not prohibited from using the Platform under applicable law.
If you use the Platform for a guiding company, business or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization.
2. Definitions
For these Terms:
- “Traveler” means a user who searches for, views, saves, compares, follows or contacts Guides, communicates through GuideMeet Messages, or uses another Traveler feature.
- “Guide” means a user who creates or manages a professional Guide Profile, communicates with Travelers or other approved Guides, or uses eligible Guide features under a free or paid plan.
- “GuideMeet Messages” means GuideMeet’s private Platform communication system through which eligible users may exchange Inquiries, messages, Consultation Requests, Service Requests, Referral communications, collaboration communications, status updates and related notices.
- “Inquiry” means a Traveler-initiated communication to a Guide concerning the Traveler’s interests, requirements, dates, destination or requested assistance. An Inquiry is not, by itself, a confirmed booking or binding service agreement. A new Inquiry may be subject to the receiving Guide’s current plan limits, while an existing conversation may remain repeatable as described on the Platform.
- “Guide Profile” means a public professional profile created or managed by a Guide.
- “Guide Insight” means a Guide-authored local knowledge post, including a route update, destination tip, safety note, cultural insight, seasonal advice, trek-preparation note, local travel tip or field observation.
- “Consultation” means an eligible, structured Guide-led advisory session requested through the Platform where enabled.
- “Consultation Request” means a Traveler’s request to discuss or schedule a Consultation with a Guide. A Consultation Request is not confirmed until the applicable parties accept the material terms.
- “Service” means a specific Guide-led offering—such as a tour, activity, local experience or trip-support service—listed or requested through the Platform where enabled.
- “Service Request” means a Traveler’s request to receive or discuss a Service offered by a Guide. A Service Request is not confirmed until the applicable parties accept the material terms.
- “Guide Network” means an eligible, permission-based feature through which approved Guides may connect, communicate, refer Travelers or collaborate.
- “Referral” means a Traveler-consented introduction from one approved, connected Guide to another through GuideMeet.
- “User Content” means profiles, text, images, videos, Guide Insights, reviews, comments, Service listings and other material submitted by a user. Private message content is addressed separately under these Terms and the Privacy Policy and is not licensed for public promotion merely because it was sent through GuideMeet Messages.
- “Public Image” means an image made available publicly through a Guide Profile, Guide Insight, Service or package listing, or another public Guide feature.
- “Private Image” means an image that is not intended for public display, including an identity document, licence, certificate, verification photograph, report evidence, private-message attachment, consultation document, payment document or image marked private.
- “Image Asset” means an image and its related records, including its public derivative, storage references, rights information, processing information, hashes and platform identifiers.
3. What GuideMeet Is
GuideMeet is a professional guide discovery, trust, insight and communication platform.
It helps Travelers discover and compare local Guides, review professional profiles and local knowledge, and communicate directly with Guides. It helps Guides build a professional presence, publish Guide Insights, receive Inquiries, communicate with Travelers, collaborate with approved Guides and access eligible growth tools.
Unless GuideMeet expressly states otherwise for a particular feature:
- GuideMeet is not a travel agency, tour operator, Guide employer, transportation provider, accommodation provider, insurer, medical provider or rescue service.
- GuideMeet does not itself provide guiding, trekking, climbing, touring, transportation, accommodation or other travel services.
- Guides are independent professionals or businesses, not employees, agents, partners or representatives of GuideMeet.
- A Traveler and Guide are responsible for deciding whether to enter into an arrangement and for agreeing on its scope, price, itinerary, inclusions, exclusions, cancellation rules, payment terms and safety requirements.
- GuideMeet is not automatically a party to an agreement between a Traveler and Guide merely because the Platform facilitated discovery, communication, a request or payment-status information.
- GuideMeet is not a package quote marketplace and does not guarantee that a Guide will receive bookings, Inquiries or income.
4. Current and Future Features
The availability of Platform features may vary by country, account type, Guide plan, eligibility, launch phase and device. Certain features described in these Terms—including Consultations, Services, Traveler payments, Guide payouts, platform transaction fees, scheduling and payment-status tracking—may not be available at launch.
A future feature becomes governed by these Terms only when GuideMeet enables it for the relevant user and provides any additional feature-specific terms, prices, cancellation rules, refund rules or payment disclosures that apply. Until such features are expressly enabled, payment provisions in these Terms primarily apply to Guide subscriptions. GuideMeet may add, test, modify, limit, pause or discontinue features. Where reasonably practicable, we will provide notice before a change materially affects an active paid subscription.
5. Accounts and Account Security
You must provide accurate, current and complete information and keep it updated. You may not:
- impersonate another person;
- create a deceptive identity;
- use another person’s account; or
- create an account for someone without authority.
You are responsible for safeguarding your credentials and for activity conducted through your account. Notify us promptly at info@guidemeet.com if you suspect unauthorized access. We may require reasonable identity or account verification before restoring access or acting on a sensitive request. You may not sell, transfer, rent or share your account without our written permission. We may limit duplicate, automated, fraudulent or unauthorized accounts.
6. Guide Profiles and Professional Responsibilities
Guides are responsible for ensuring that their profile information, professional history, experience, destinations, languages, categories, specialties, availability, photographs, videos, credentials, licences, affiliations, insurance information, Guide Insights and Services are truthful, current, lawful and not misleading.
A Guide must:
- have the legal right to work and offer the stated services in each relevant jurisdiction;
- possess and maintain every licence, permit, registration, qualification, insurance or authorization required for the activities offered;
- work only within the Guide’s lawful qualifications and competence;
- comply with protected-area rules, safety requirements, tax obligations and professional standards;
- disclose material limitations, risks, exclusions, commercial relationships and conflicts of interest;
- protect Traveler information and use it only for the authorized Inquiry, Referral or arrangement;
- avoid fabricated credentials, false experience, copied content, manipulated reviews and misleading destination coverage; and
- promptly update information that is no longer accurate.
GuideMeet may request evidence supporting profile claims and may review, approve, reject, request changes to, restrict or remove a profile or its content. A Guide must cooperate reasonably with a verification, safety, complaint or compliance review.
7. Verification and Trust Signals
GuideMeet may offer identity, licence, credential, profile or other verification processes. Verification methods and eligibility may vary by country, category, Guide plan and available records. Profile approval means only that the profile passed the review process applied at that time.
A “Verified Guide,” “Featured Guide,” “Destination Expert” or similar badge or signal means only that the applicable published GuideMeet criteria were met when assessed. These signals are not guarantees of:
- identity;
- current licensing;
- competence;
- conduct;
- availability;
- safety; or
- suitability for a particular Traveler or activity.
A paid subscription alone does not purchase verification. GuideMeet may require periodic re-verification and may suspend, expire or remove a signal if eligibility changes, a credential expires, information cannot be reconfirmed or a Platform rule is violated. Users should independently review relevant experience, credentials, permits, insurance, safety procedures and current local conditions.
A GuideMeet watermark, platform identifier, rights metadata or image asset record is not a verification badge and does not mean that an image, Guide, Service, licence or credential has been verified, approved, certified or endorsed.
8. Traveler Responsibilities
Travelers are responsible for evaluating whether a Guide, proposed arrangement and activity are suitable for their needs. Before committing, Travelers should confirm:
- the Guide’s credentials and experience;
- the scope of the proposed Service;
- pricing and payment terms;
- cancellation and refund rules;
- emergency arrangements;
- insurance requirements;
- physical demands;
- accessibility support;
- permits; and
- current local conditions.
Travelers must provide accurate and relevant information about their requirements. Travelers remain responsible for passports, visas, permits, travel insurance, medical advice, health and fitness, equipment, transportation, personal decisions and compliance with applicable law. Platform information is general information and is not medical, legal, immigration, insurance, emergency or professional safety advice.
9. Guide Plans and Subscriptions
GuideMeet does not charge Travelers a Platform subscription for guide discovery, profile viewing, Guide Insights, eligible Inquiries or messaging. Guides may use an eligible free profile or purchase a paid subscription. Where enabled later, a Traveler may separately choose to pay an independent Guide for a Consultation or Service. That does not convert the Traveler’s Platform access into a GuideMeet subscription.
Plan features, limits, visibility benefits, eligibility requirements and prices are described on the current Plans and Pricing or checkout page. They may vary by country, currency, promotion and billing period. Paid plans can provide additional:
- profile depth;
- classification limits;
- profile media;
- Guide Insights;
- communication opportunities;
- visibility eligibility;
- Services or Consultations where enabled;
- analytics;
- website support; or
- priority support.
Paid visibility applies within GuideMeet’s relevance and ranking systems. It does not guarantee:
- profile views;
- a particular search position;
- Inquiries;
- Consultation Requests;
- Service Requests;
- reviews;
- bookings;
- revenue; or
- income.
9.1 Subscription disclosure and consent
Before charging a recurring subscription, GuideMeet will display the material subscription terms, including:
- plan name;
- subscription price;
- currency;
- billing frequency;
- applicable taxes or disclosed fees;
- automatic-renewal terms;
- promotional duration where relevant;
- renewal price;
- cancellation method; and
- refund rules.
By affirmatively subscribing, you authorize GuideMeet and its payment providers to charge the displayed recurring amount to your selected payment method until you cancel. GuideMeet will provide a transaction confirmation or another retainable acknowledgment containing or linking to the applicable subscription and cancellation information.
9.2 Renewal
Unless the checkout page states otherwise, a paid subscription renews automatically at the beginning of each monthly or annual billing period until cancelled. GuideMeet may provide advance renewal reminders where required by law or adopted as Platform practice. You are responsible for maintaining a valid payment method. A payment provider may support account-updater or tokenized-payment services in accordance with its terms.
9.3 Cancellation
You may cancel through the billing or subscription settings made available in your Guide account or through another clearly disclosed method. An online subscription will not require an unnecessary telephone call or unrelated additional purchase to cancel.
Cancellation stops future renewal and normally takes effect at the end of the current paid period. You retain paid features until then unless a refund, chargeback, legal requirement, safety restriction or violation of these Terms requires earlier action. Deleting an account does not automatically cancel a subscription unless the Platform expressly confirms both account closure and subscription cancellation. GuideMeet will provide confirmation when cancellation is completed.
9.4 Fees, taxes and price changes
You are responsible for applicable taxes, duties, bank charges and currency-conversion costs unless the checkout page states otherwise. GuideMeet may change plan prices or features. For an existing recurring subscription, we will provide reasonable advance notice of a material price increase and apply it from a future renewal date, subject to applicable law. Where required, we will obtain renewed consent.
9.5 Refunds
Subscription fees are non-refundable after a billing period begins, except where:
- required by applicable law;
- expressly stated at checkout; or
- approved by GuideMeet for a verified billing error or exceptional circumstance.
Any legally required cooling-off, cancellation or refund right remains unaffected. Promotional, launch or Anchor pricing may be subject to eligibility, duration and renewal conditions disclosed with the offer. Anchor pricing is a commercial launch offer and not a public verification or trust badge.
9.6 Failed payments and chargebacks
If a payment fails, is reversed or is disputed, GuideMeet may:
- retry the charge as disclosed;
- request another payment method;
- limit paid features;
- downgrade the plan; or
- suspend the subscription.
We may submit relevant subscription, consent and usage records to a payment provider when responding lawfully to a chargeback.
9.7 Downgrades and plan limits
When a Guide downgrades, approved profile content, published Guide Insights, approved connections and message history may be preserved. Categories, destinations, travel styles, specialties, route/place tags, Services or other items exceeding the lower plan’s active limits may become inactive or unavailable rather than being deleted. They may be reactivated after a later upgrade, subject to then-current plan, moderation and eligibility rules. The current Plans and Pricing page controls if a plan summary elsewhere differs.
10. Payment Providers
GuideMeet may accept subscription payments through Stripe and other supported Nepal or international payment providers. Those providers may collect and process:
- payment credentials;
- billing information;
- transaction identifiers;
- authentication data; and
- fraud-prevention signals.
Their own terms and privacy notices may apply. GuideMeet normally does not receive or store complete payment-card numbers. We may receive limited information such as:
- billing name and contact details;
- payment-method type;
- payment amount;
- currency;
- provider transaction ID;
- payment status;
- renewal date; and
- refund or dispute status.
GuideMeet is not a bank, wallet, payment service provider or money-transfer service. The availability of a payment method depends on provider support, applicable law and GuideMeet’s approved payment arrangements.
11. Consultations, Services and Traveler Payments Where Enabled
When GuideMeet enables a Consultation, Service or Traveler payment feature, the applicable listing or checkout flow will identify:
- the price;
- the parties;
- the scope;
- applicable platform or processing fees;
- cancellation terms;
- refund process; and
- any payout conditions.
Unless GuideMeet expressly states otherwise in separate feature-specific terms:
- The Guide remains responsible for the Service description and delivery.
- The Traveler and Guide remain the parties to the underlying arrangement.
- GuideMeet acts only as a technology intermediary facilitating eligible discovery, communication, scheduling or payment support.
- GuideMeet does not guarantee availability, attendance, permits, performance, safety, successful completion or a particular outcome.
- A listing is an invitation to inquire or request and not a guarantee of acceptance.
Before confirming an arrangement, the Traveler and Guide must agree on all material terms. Users may not move a paid Platform transaction off-platform to evade disclosed fees, safety measures or transaction rules. Service-performance disputes should first be addressed between the Traveler and Guide. GuideMeet may provide support, review relevant Platform records and apply Platform remedies, but is not required to adjudicate every private contractual dispute.
12. User Content, Image Rights and Image Processing
12.1 Ownership and permission
You retain ownership of your User Content, subject to the rights granted in these Terms. You may upload or publicly display an image only if you own it or have all permissions, licences, releases and consents required to upload, process, publish and publicly display it. You are responsible for ensuring that an image does not violate another person’s copyright, trademark, privacy, publicity, confidentiality or other legal rights.
You must not upload or publicly expose:
- identity documents;
- passports or other travel documents;
- licences or certificates;
- verification photographs;
- report evidence;
- private-message attachments;
- consultation documents;
- payment documents;
- confidential records;
- images containing unnecessary sensitive personal information; or
- images marked private.
GuideMeet may reject, restrict, remove or separately handle an image that appears private, sensitive, unlawful, unsafe or unsuitable for public display.
12.2 Licence to GuideMeet
By submitting User Content, you grant GuideMeet a worldwide, non-exclusive, royalty-free licence, with the right to use necessary hosting and distribution providers, to:
- host;
- store;
- reproduce;
- format;
- technically adapt;
- translate;
- distribute;
- communicate;
- publish; and
- display the content.
This licence applies only as reasonably necessary to operate, secure, improve and promote GuideMeet. For public Guide Profiles, Guide Insights and Service listings, this licence includes display in:
- Platform pages;
- search engines;
- social-sharing previews; and
- GuideMeet promotional materials.
Where your name, professional image or likeness is part of public content, the same limited permission applies to that public use. GuideMeet does not take ownership of your original content or sell ownership of it. The active licence generally ends when the content is deleted from the Platform. However, GuideMeet may retain or use limited copies where reasonably necessary for:
- backups;
- security;
- legal compliance;
- dispute records;
- cached pages; and
- promotional material already created or distributed.
12.3 Public image protection
Public Images may be:
- resized and optimized;
- converted into JPEG, WebP, AVIF or other supported formats;
- provided in fixed public sizes;
- displayed with a visible GuideMeet watermark;
- assigned an opaque GuideMeet platform identifier;
- processed with standardized rights metadata; and
- delivered through a content delivery network.
The original uploaded image is intended to remain in restricted storage and will not be provided through a publicly accessible original-image URL. GuideMeet may provide processed public derivatives instead of the original upload.
GuideMeet’s visible watermark may use the GuideMeet logo, an adaptive light or dark version, safe margins and a placement intended to avoid faces or important visual information. For very small images, the visible watermark may be omitted where it would be unreadable or interfere with usability. A watermark or platform identifier:
- identifies GuideMeet as the hosting platform;
- does not identify GuideMeet as the copyright owner;
- does not transfer ownership to GuideMeet;
- does not prove that the image is authentic or verified;
- does not constitute approval, certification or endorsement; and
- does not guarantee that unauthorized copying or downloading can be prevented.
GuideMeet will not label a watermark as “Verified by GuideMeet,” “GuideMeet Approved,” “GuideMeet Certified” or “© GuideMeet” unless a separate lawful basis specifically applies.
12.4 Metadata and technical processing
GuideMeet may remove original image metadata from public copies, including metadata that may contain:
- GPS coordinates;
- camera serial numbers;
- device-owner information;
- private filenames;
- contact details;
- embedded thumbnails; or
- editing history.
GuideMeet may add controlled rights and asset information to public copies, such as the creator or rights holder where supplied and appropriate, a GuideMeet credit line, a GuideMeet source statement, an opaque asset identifier and a web statement of rights. Metadata may not be accurate or complete in every copy, particularly after third-party conversion, downloading, screenshots, social-media processing or other modifications outside GuideMeet’s control.
12.5 Invisible identifiers and image hashes
GuideMeet may assign an Image Asset an opaque identifier and may use signed or otherwise protected technical identifiers to help associate public copies with an internal asset record. Where implemented, such identifiers are intended to assist with security, rights complaints, abuse investigations and asset management. They are not guaranteed to survive every form of compression, resizing, cropping, screenshotting, filtering, conversion or third-party processing and are not, by themselves, proof of copyright ownership.
GuideMeet may also create cryptographic or perceptual hashes and related technical records to:
- detect duplicate or repeatedly uploaded material;
- investigate abuse and unauthorized reuse;
- support moderation and takedown processes;
- protect Platform security; and
- manage the image lifecycle.
12.6 Upload processing and storage
GuideMeet may validate image format, MIME type, dimensions and file size and perform malware or malformed-file checks before processing an upload. Where technically appropriate, GuideMeet may:
- apply image orientation;
- store the original in encrypted, access-restricted storage;
- create sanitized processing copies;
- generate public derivatives;
- apply platform identifiers;
- compress or convert public copies; and
- deliver public derivatives through a CDN.
Private Images must not be made publicly accessible merely because they were uploaded or processed through the Platform.
12.8 No global right-click blocking
GuideMeet does not globally disable right-click or other ordinary browser functionality. GuideMeet may optionally discourage casual dragging of public images, but this does not prevent screenshots, downloads, copying or other forms of reuse.
You must not bypass technical restrictions, scrape public images at an abusive scale, harvest profiles sequentially, hotlink content in a manner that causes harm, or access private storage or protected endpoints.
12.9 Search visibility and crawlers
GuideMeet may permit selected public image and profile pages to be indexed by search engines. It may use robots.txt, page directives and related crawler-management tools to manage indexing. Crawler-management instructions are not a security measure. Private Images, originals and restricted storage must remain technically inaccessible regardless of crawler instructions.
You acknowledge that search engines, social platforms, browsers, caches and other third parties may retain or reproduce public content outside GuideMeet’s control.
12.10 User image notice and confirmation
When you upload a Public Image, GuideMeet may display the following notice:
Public images may be resized, optimized and displayed with visible or invisible GuideMeet platform identifiers and standardized rights metadata. These measures identify GuideMeet as the hosting platform and help investigate unauthorized reuse. They do not transfer ownership of the image to GuideMeet or constitute verification or endorsement.
You may also be required to confirm:
I confirm that I own this image or have the permissions and consents necessary to upload and publicly display it.
GuideMeet may retain a record of this confirmation, including the account, applicable content, Terms version and time of confirmation.
12.11 User Content restrictions
You must not post:
- confidential Traveler information;
- personal information without authority;
- dangerous misinformation;
- copied material without permission;
- deceptive synthetic or AI-generated content;
- forged or misleading credentials;
- images that falsely suggest verification, approval or certification; or
- any image or other material that violates these Terms or applicable law.
GuideMeet may correct formatting, request clarification, label, reduce distribution, reject, restrict or remove content for moderation, accuracy, legal, safety, security or Platform-integrity reasons. Private message content is not licensed for public promotion merely because it was sent through GuideMeet Messages.
13. Copyright and Rights Complaints
If you believe content on GuideMeet infringes copyright, trademark, privacy, publicity or another legal right, contact legal@guidemeet.com with:
- your identity and contact information;
- identification of the protected work or right;
- the exact Platform content and location;
- an explanation of the alleged violation;
- a good-faith statement that the disputed use is unauthorized; and
- confirmation that the information supplied is accurate and that you are authorized to act.
For an image complaint, include the public image URL or profile location, screenshots where available, and information identifying the original work or rights holder. GuideMeet may use image asset records, metadata, hashes, platform identifiers and related records to investigate a complaint. These technical records assist investigation but do not by themselves establish copyright ownership. GuideMeet may request additional information, temporarily restrict content, notify the affected user and allow a response or counter-notice where appropriate. Repeated or serious infringement may result in account termination.
14. Reviews
Reviews must reflect a genuine eligible experience and must be honest, relevant and respectful. Users may not:
- buy or sell reviews;
- fabricate reviews;
- manipulate ratings;
- exchange reviews improperly;
- pressure another person for a favorable review; or
- submit a review for an experience that did not occur.
GuideMeet may require completion of a Consultation, Service or another approved eligibility event before permitting a review. GuideMeet may verify eligibility, delay publication, moderate content, remove prohibited material and exclude unpublished reviews from ratings. Guides may be provided a response or appeal mechanism. However, disagreement with an honestly expressed opinion does not by itself require removal. Incentivized reviews, wherever permitted, must be clearly disclosed. Reviews reflect users’ opinions, not GuideMeet’s endorsement or guarantee.
15. Messaging, Inquiries and Safety Review
GuideMeet Messages may support:
- Inquiries;
- direct messages;
- Consultation Requests;
- Service Requests;
- Guide collaboration;
- Referrals;
- status updates;
- payment notices;
- review prompts; and
- Platform support.
Users must communicate professionally. Users must not use GuideMeet Messages to send:
- spam;
- scams;
- harassment;
- threats;
- unlawful promotions;
- malware;
- sexually exploitative content; or
- requests for unnecessary sensitive information.
GuideMeet does not routinely read every private conversation. Authorized personnel may access, preserve or review relevant message content and metadata when reasonably necessary to:
- respond to a report;
- address a safety issue;
- investigate spam, fraud or abuse;
- provide requested support;
- enforce these Terms;
- comply with applicable law; or
- act with user permission.
Message access and processing are further described in the Privacy Policy. Where enabled, AI-assisted translation, reply suggestions or moderation may process relevant message content. GuideMeet will disclose such processing and applicable controls through the relevant feature and Privacy Policy. Private messages, verification documents and payment information will not be used for general AI-model training unless GuideMeet provides a separate lawful notice and any required choice or consent.
Users may be able to report, block or restrict another user. For immediate danger or an emergency, contact local authorities or emergency services. GuideMeet is not an emergency monitoring or rescue service.
16. Guide Network, Referrals and Collaboration
Approved Guides may opt in to eligible Guide Network features. A connection request must be accepted before two Guides can:
- privately message one another through the Guide Network;
- exchange Referrals; or
- propose collaboration.
A connection, Referral, “Works With Other Guides” display or collaboration signal does not create employment, agency, partnership, endorsement or joint liability between GuideMeet and any Guide.
16.1 Traveler consent for Referrals
If a Guide proposes referring a Traveler to another connected Guide, GuideMeet will present a clear request identifying:
- the recommended Guide; and
- the categories of information proposed for sharing.
No Referral Inquiry will be created and no Traveler name, contact details, message history or other identifying information will be disclosed to the recommended Guide unless the Traveler affirmatively consents. Declining or ignoring the request will not create an Inquiry.
A Traveler may withdraw consent for future sharing, but withdrawal cannot reverse information already lawfully shared. After consent, Guides may use Referral information only for the approved purpose. Guides may not reuse or disclose Referral information for unrelated marketing, profiling or further Referrals without another lawful basis or permission.
16.2 Guide responsibilities
Guides are responsible for checking a collaborator’s:
- qualifications;
- authority;
- insurance;
- availability; and
- suitability.
Any referral fee, revenue split, subcontracting arrangement, payment or service responsibility must be agreed directly and lawfully between the relevant Guides unless a specific GuideMeet feature states otherwise. GuideMeet does not guarantee or enforce private payments between Guides and is not responsible for a private collaboration dispute.
17. Prohibited Conduct
You may not:
- violate applicable law, permit conditions or another person’s rights;
- provide false identity, profile, licence, location, experience, review or payment information;
- offer an illegal, unsafe, exploitative or unauthorized Service;
- harass, discriminate against, threaten, stalk, exploit or harm another person;
- solicit unnecessary sensitive information;
- misuse Traveler, Guide or collaborator information;
- scrape, harvest, copy or commercially reuse Platform data or Public Images without authorization;
- use bots or automation to create accounts, send messages, manipulate engagement or bypass Platform controls;
- download or request public images at an abusive scale;
- harvest profiles sequentially or engage in excessive hotlinking;
- attempt to access private originals, Private Images or restricted storage;
- interfere with Platform security, availability, ranking, billing, verification or moderation;
- upload malware or attempt unauthorized access;
- infringe intellectual-property, privacy, publicity or confidentiality rights;
- manipulate reviews, Referrals, rankings or trust signals;
- use GuideMeet to facilitate human trafficking, sexual exploitation, wildlife crime, cultural-property trafficking or other unlawful conduct;
- create deceptive AI-generated identities, credentials, experience, reviews or safety claims;
- evade disclosed Platform fees or safety rules; or
- assist another person in doing any of the above.
18. Moderation, Suspension and Termination
GuideMeet may investigate suspected violations and may:
- issue a warning;
- limit account functionality;
- reduce distribution or visibility;
- remove content;
- suspend a badge;
- suspend or terminate an account;
- restrict a Service;
- restrict payment capability; or
- suspend or terminate a subscription.
We may take these actions when reasonably necessary to:
- protect users;
- enforce these Terms;
- comply with applicable law;
- prevent fraud or abuse;
- address safety concerns; or
- protect Platform integrity.
Where appropriate, GuideMeet may request information, preserve records, notify affected users, withhold a payout where legally permitted, or refer a matter to a payment provider or lawful authority. We may act without advance notice where delay could increase harm, fraud, security risk or legal exposure. Where practicable and appropriate, GuideMeet may provide the affected user with a reason and an opportunity to request review. We are not required to disclose confidential security methods, another person’s private information or information that could compromise an investigation.
19. Account Closure and Data After Termination
You may request account closure through available settings or support. Closing an account does not eliminate payment obligations already incurred or automatically reverse an existing transaction. After closure:
- a public Guide Profile may be unpublished;
- active paid features end according to the applicable cancellation and billing rules;
- public Images and other public content may be removed, disabled or processed according to the image lifecycle procedures in these Terms and the Privacy Policy;
- some public content may remain where the user chooses to retain it or where lawful moderation, review or public-record considerations apply;
- reviews about completed eligible experiences may remain, subject to privacy and moderation rules;
- messages, verification records, billing records, consent records and enforcement information may be retained as described in the Privacy Policy; and
- search-engine caches and third-party copies may take time to disappear.
Terms that by their nature should survive—including payment obligations, limited retained-content permissions, intellectual-property rules, disclaimers, liability limits, indemnity and dispute provisions—survive account closure or termination.
20. GuideMeet Intellectual Property
The Platform, including its software, branding, databases, controlled taxonomies, interfaces, graphics and GuideMeet-created content, is owned by or licensed to GuideMeet and protected by applicable law. Except for the limited right to use the Platform under these Terms, no rights are granted to users.
“GuideMeet,” associated logos and product names may not be used in a way that implies endorsement, partnership or affiliation without written permission. A GuideMeet watermark or platform identifier does not mean that GuideMeet owns the copyright in the underlying image. Copyright ownership remains with the applicable rights holder unless ownership has been expressly transferred to GuideMeet in writing.
21. Third-Party Services
The Platform may link to or integrate with:
- payment processors;
- maps;
- analytics providers;
- video-hosting services;
- authentication providers;
- identity-verification services;
- AI services;
- social platforms;
- content delivery networks; and
- other third-party services.
Third-party terms and privacy practices may apply. GuideMeet is not responsible for third-party services it does not control. Third-party services may independently cache, process, transform, index or retain public content in accordance with their own terms and policies.
22. Travel, Safety and Information Disclaimer
Travel and outdoor activities can involve serious risks, including:
- illness;
- altitude;
- weather;
- road conditions;
- political restrictions;
- natural hazards;
- wildlife;
- injury;
- loss; and
- death.
Conditions, routes, permits, borders and applicable rules can change quickly. Guide Profiles, Guide Insights, reviews, badges, AI-assisted outputs, translations and search results are provided for discovery and general information. GuideMeet does not warrant that this information is complete, current, error-free or suitable for a specific Traveler, destination or activity. Users must verify material information with qualified professionals and official sources.
23. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform is provided “as is” and “as available.” GuideMeet disclaims implied warranties, including warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- availability; and
- uninterrupted or error-free operation.
GuideMeet does not guarantee any:
- Guide or Traveler;
- identity;
- licence or credential;
- review;
- User Content;
- match;
- Inquiry;
- Consultation;
- Service;
- transaction;
- revenue;
- ranking;
- destination condition; or
- travel outcome.
GuideMeet does not guarantee that image protection, watermarking, identifiers, hashes, metadata processing, CDN controls or other security measures will prevent copying, downloading, scraping, alteration, unauthorized reuse or third-party retention of content. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
24. Limitation of Liability
To the maximum extent permitted by applicable law, GuideMeet and its directors, officers, employees and contractors will not be liable for:
- indirect, incidental, special, exemplary, punitive or consequential loss;
- loss of profits, revenue, data, goodwill or opportunity;
- private arrangements between users;
- unauthorized copying, downloading or reuse of User Content; or
- acts, omissions, Services or content of users or third parties.
To the maximum extent permitted by law, GuideMeet’s aggregate liability arising from the Platform or these Terms will not exceed the greater of:
- the amount you paid directly to GuideMeet during the 12 months immediately before the event giving rise to the claim; or
- USD 100 or its equivalent in the applicable currency.
These limitations do not apply where liability cannot lawfully be limited or excluded, including, where applicable, fraud, wilful misconduct, or death or personal injury caused directly by negligence where exclusion is prohibited.
25. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless GuideMeet and its directors, officers, employees and contractors from third-party claims, losses, liabilities and reasonable costs arising from:
- your User Content;
- your professional Services;
- your violation of these Terms;
- your violation of applicable law;
- your infringement of another person’s rights; or
- your arrangement or dispute with another user.
This clause does not require a consumer to indemnify GuideMeet for GuideMeet’s own unlawful conduct and applies only to the extent enforceable under applicable law.
26. Governing Law and Disputes
These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Before filing a formal claim, you and GuideMeet agree to make a good-faith effort for at least 30 days to resolve it by written notice. Send legal notices to legal@guidemeet.com and include:
- your name;
- account email;
- relevant facts; and
- requested resolution.
Unless applicable consumer law gives you a non-waivable right to bring a claim elsewhere, courts of competent jurisdiction in Kathmandu, Nepal will have exclusive jurisdiction over disputes arising from these Terms or the Platform.
Nothing in these Terms excludes, restricts or limits any consumer right, remedy or liability that cannot lawfully be excluded or limited under the Consumer Protection Act, 2075 (2018) or other applicable law. Nothing prevents either party from seeking urgent injunctive or protective relief where legally available.
27. Changes to These Terms
GuideMeet may update these Terms to reflect:
- Platform changes;
- legal or regulatory requirements;
- security or safety requirements; or
- operational and risk needs.
We will publish the updated version and revise the “Last updated” date. If a change materially affects user rights, paid-subscription terms or obligations, GuideMeet will provide reasonable notice through the Platform, by email or through another appropriate method. We will seek renewed acceptance or consent where required by applicable law. Continued use after revised Terms take effect constitutes acceptance only to the extent permitted by law.
28. General Terms
28.1 Electronic communications
You agree that GuideMeet may provide agreements, notices, disclosures, receipts and other communications electronically, subject to applicable law. You are responsible for maintaining an active email address and current account information.
If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. GuideMeet’s failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without GuideMeet’s written consent. GuideMeet may assign these Terms in connection with a restructuring, financing, merger, acquisition or transfer of the Platform, subject to applicable law.
These Terms, the Privacy Policy, Cookie Policy and any feature-specific terms or policies presented to you form the agreement concerning the Platform. If feature-specific terms conflict with these Terms, the feature-specific terms control only for the relevant feature.
